Documented cause
CrédoPortugal built an embedded lending API allowing Portuguese e-commerce platforms, retailers, and marketplaces to offer consumer credit at checkout, targeting the growing BNPL and installment credit market. The platform partnered with three consumer finance companies as credit providers. Bank of Portugal's 2021 update to Decreto-Lei 74-A/2017 introduced stricter requirements for credit intermediaries operating API-based distribution, requiring each distribution partner (the merchant) to be a registered credit intermediary — effectively requiring CrédoPortugal's B2B clients to obtain licenses they had no intention of pursuing. The compliance rearchitecture cost 18 months and most of the Series A runway. The BNPL market then contracted globally in 2022-2023 as rates rose.
Lesson
“Embedded credit compliance in EU markets must be mapped end-to-end — API provider, credit provider, AND distribution merchant — before any technical development. Regulatory gaps downstream in the distribution chain kill the business model.”
